These terms and conditions (“Terms”) govern your use of the LinkSpawn website and client portal (“Service”) operated by LinkSpawn Ltd (Company No. 16792219), registered at 27 Holly Walk, Leamington Spa, England, CV32 4NN (“we”, “us”, “our”).
1. Consulting Engagements
These Terms govern the use of this website. All professional services, fractional leadership, and architectural consulting provided by LinkSpawn Ltd are governed by separate, mutually signed Master Services Agreements (MSAs) and Statements of Work (SoWs). In the event of a conflict between these Terms and an executed MSA, the MSA shall prevail.
2. Account Registration (Client Portal)
- Access to the LinkSpawn client portal is strictly by invitation only.
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately of any unauthorised use of your account.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorised access to the Service or its systems.
- Interfere with or disrupt the Service or its infrastructure.
- Upload malicious code, viruses, or harmful content.
4. Intellectual Property
- The Service, including its design, code, branding, and documentation, is owned by LinkSpawn Ltd.
- The LinkSpawn name, logo, and brand elements are our trademarks.
- You may not reproduce, distribute, or create derivative works from our public website content without explicit permission.
5. Service Availability
- We aim to provide high availability for the client portal but do not guarantee uninterrupted access.
- We may perform scheduled maintenance with reasonable advance notice.
- We are not liable for temporary service disruptions caused by factors beyond our control.
6. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” without warranties of any kind.
- We are not liable for any indirect, incidental, or consequential damages arising from your use of the website or portal.
- Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
7. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
